| 1. |
The minimum price for a product or a package of products sold on City Shopping
is $10. This means that any transaction has to be $10 or more. If
Supplier's product is priced less than $10, then Supplier shall either
set a minimum purchase quantity, or bundle several items together
for a single purchase that will meet or exceed $10.

| 2.

Supplier
agrees to pay $4.95 semiannually for each of Supplier's listing
and 9% commission plus 3.5% handling fees (Note:
eC-T will be responsible for credit card and bank fees) for each transaction. In other words, what
this means is that eC-T will retain 12.5% of the gross sale from each
transaction and then pay Supplier 87.5% of the gross sale from
the transaction according to the payment schedule mentioned above.

eC-T
will pay Supplier monthly net 30 days after the closing of each month
if the total amount sold for the month is $50 or more. If the amount
is less than $50, it will be rolled over to the following months
until Supplier's total sales reach $50 or more. If Supplier decides
to terminate this Agreement, then eC-T will send a check to Supplier
for any remaining balance net 30 days from the day when eC-T receives
Supplier's notice in writing to stop selling their products.

| 4. |
Supplier
agrees to respond by e-mail or telephone to any purchase inquiries
from City Shopping shoppers within one business day and to ship
out product(s) within two business days from the time Supplier receives
notification from eC-T of an order.

| 5. |
It is Supplier's
responsibility to handle any product fulfillment. Suppliers shall indicate their shipping method(s) as well
as shipping and handling charges.
|
| 6. |
eC-T
will only accept Visa, MasterCard, check, and money orders when a
shopper purchases Supplier's product(s) through City Shopping.
|
| 7. |
Product
listing and the promotion of Supplier's products are free of charge,
but it is eC-T's discretion to decide how and where to list Supplier's
product(s) and on how to promote City Shopping.
|
| 8. |
eC-T
reserves the right to not accept some of Supplier's product(s) or
to stop selling Supplier's product(s) at anytime.
|
| 9. |
eC-T's
general store
policy is applicable while selling Supplier's product(s) on City Shopping.
|
| 10. |
Supplier
has the right to content provided by Supplier. eC-T
has the right to any design and related software used
for listing and selling Supplier's product(s). This Terms and Conditions is good for
the six month period of Supplier's listing.

Limitation of Liability. IN NO EVENT
WILL eC-T BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, BUSINESS
INTERRUPTION, LOSS OF DATA, COST OF COVER OR INDIRECT, SPECIAL, INCIDENTAL
OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH OR ARISING
OUT OF eC-T'S PERFORMANCE OR FAILURE TO PERFORM HEREUNDER, WHETHER
ALLEGED AS A BREACH OF CONTRACT OR TORTIOUS CONDUCT, INCLUDING NEGLIGENCE,
EVEN IF eC-T HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
eC-T'S LIABILITY UNDER THIS AGREEMENT FOR DAMAGES WILL NOT, IN ANY
EVENT, EXCEED THE FEE PAID BY Supplier TO eC-T UNDER THIS AGREEMENT.
The provisions of this Section allocate risks under this Teerms and Conditions
between Supplier and eC-T. eC-T's pricing of the City Shopping services
reflects this allocation of risks and limitation of liability. |
